Ombient Terms of Use

1. Introduction and Acceptance

These Terms of Use (the “Terms”) constitute a legally binding agreement between you and ASCETIX INC. regarding your access to and use of Ombient.

By creating an account, downloading, installing, accessing, subscribing to, purchasing through or using Ombient, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use Ombient.

In these Terms, “ASCETIX”, “we”, “us” and “our” mean ASCETIX INC.; and “you” and “your” mean the individual who accesses or uses Ombient.

2. Contracting Entity, Role of ASCETIX and Key Definitions

Ombient is owned, operated, administered and provided by ASCETIX INC., a corporation organised under the laws of the State of Delaware, United States, with registered office at:

ASCETIX INC. is your contracting entity for access to and use of Ombient, unless mandatory consumer law requires otherwise.

For Ombient, ASCETIX INC. acts as the owner, operator, administrator and service provider of the App. ASCETIX INC. is not acting as a limited payment collection agent, payment entity or payment collection partner for another application operator in connection with Ombient.

Key definitions used in these Terms:

Subscription

A paid, automatically renewing plan for access to paid Ombient features or content.

App Store Purchase

A purchase made through Apple App Store and billed by Apple.

Google Play Purchase

A purchase made through Google Play and billed by Google.

Direct Web Purchase

A purchase made through a Website, checkout page or other channel made available outside Apple App Store and Google Play.

Merchant of Record / MOR

A third-party provider that, if used and disclosed at checkout, may sell the relevant digital product to you in its own name, issue invoices/receipts and collect/remit applicable taxes.

Payment Processor

A third-party provider that securely processes card, wallet or alternative payment method transactions.

Adyen

The payment provider / Payment Processor used by ASCETIX for Ombient Direct Web Purchases, unless another payment provider is expressly disclosed at checkout.

Apple Pay / Google Pay

Digital wallet payment methods that may be offered for Direct Web Purchases through Adyen or another disclosed payment provider. They are payment methods, not App Store Purchases or Google Play Purchases unless the purchase is made through the relevant app-store billing flow.

Billing Platform

A third-party platform used to manage recurring billing, subscription status, renewals, dunning, proration and related lifecycle events.

Subscription Management Provider

A provider that manages entitlement status, subscription state, cancellation events or subscription analytics.

Territory

The country or region associated with billing address, payment method, IP address, app-store account, selected currency, tax location or other objective criteria used for legal, tax, payment, fraud-prevention and operational purposes.

Refund & Cancellation Policy

The Ombient refund, cancellation, withdrawal, goodwill and service-credit policy available at [Ombient Refund & Cancellation Policy URL].

3. Relationship to Other Services

Ombient is separate from any other application, website, product or service for which ASCETIX INC. may provide merchant-of-record, payment collection, billing, tax, payment processing or related services.

These Terms apply only to Ombient. They do not govern any other application, website, product or service, and no other application’s terms of use or privacy policy governs Ombient unless ASCETIX expressly states that it applies to Ombient.

No other application operator owns, operates, administers, controls, provides, supports or contracts with users for Ombient.

4. Eligibility and Accounts

You must be at least 13 years old in the United States and at least the digital-consent age in your country or region to use Ombient. In the EU, this age is generally 16 unless national law sets a lower age.

If you are under the age of majority or under the applicable digital-consent age, you may use Ombient only with consent and supervision of your parent or legal guardian where required by law. Your parent or guardian must review these Terms with you.

You are responsible for providing accurate, current and complete information when creating or managing your account and for keeping such information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, except where liability cannot lawfully be imposed on you. If you suspect unauthorised access to your account, contact us promptly at support@ombient.app.

5. Description of the Services

Ombient provides digital content and features related to mindfulness, meditation, relaxation, sleep, breathing, focus, general wellbeing and related educational or self-guided wellness activities.

Depending on your app version, plan, country, device, operating system and permissions, Ombient may include guided meditations, sleep stories, sleep sounds, breathing exercises, relaxation content, sleep routines, reminders, mood or stress check-ins, journaling or reflection tools, favourites, history, progress indicators, streaks and other features described in the App, on [Ombient website URL], in App Store listings or in Google Play listings.

We may add, modify, suspend or discontinue features or content from time to time, subject to applicable law.

6. General Wellness and Health / Medical Disclaimers

Ombient is intended only for general wellness, relaxation, meditation, breathing, sleep-support and informational purposes.

Ombient is not a healthcare service, medical service, mental-health service, counselling service, psychotherapy service, telehealth service, emergency service or crisis-support service.

Ombient does not provide medical advice, mental-health advice, psychological counselling, psychotherapy, diagnosis, treatment, clinical care or regulated health services.

Ombient is not intended to diagnose, cure, mitigate, treat or prevent any disease, disorder, condition, sleep disorder, mental-health condition or other medical condition. Ombient is not intended to be used as a medical device.

Your use of Ombient does not create a doctor-patient, therapist-patient, counsellor-client or other healthcare professional relationship with ASCETIX, Ombient, our personnel, contractors, licensors or service providers.

You should not disregard, avoid or delay seeking advice from a qualified physician, psychologist, psychiatrist, therapist, counsellor or other licensed healthcare professional because of anything you see, hear or read in Ombient. You should not start, stop or change any medication or treatment plan based solely on Ombient.

Ombient is not designed for emergencies, crisis situations or suicide prevention. If you believe you may harm yourself or another person, or if you are experiencing a medical, mental-health or other emergency, immediately contact local emergency services, a crisis hotline, a qualified healthcare professional or the nearest emergency department.

ASCETIX does not guarantee that Ombient will improve your sleep, stress, anxiety, mood, focus, mental health, physical health, wellbeing or any other outcome. Results vary by individual, and Ombient may not be appropriate for everyone.

7. Subscriptions, Free Trials, Renewal Notices and Cancellation

Some Ombient features or content may require a paid Subscription, free trial, in-app purchase or other paid access.

Subscription plans, prices, billing periods, currencies, included features, trial duration and renewal terms will be disclosed before purchase in the App, the App Store, Google Play or the applicable Direct Web Purchase checkout.

Subscriptions renew automatically at the end of each billing period, for example monthly, annually or another billing period disclosed at checkout, unless cancelled before the renewal date.

By purchasing a Subscription, you authorise ASCETIX and, depending on the purchase channel, Apple, Google, Adyen, the applicable Merchant of Record, Billing Platform, subscription management provider or other disclosed billing provider to charge the applicable Subscription fees and taxes to your selected payment method at each renewal. If you select Apple Pay or Google Pay for a Direct Web Purchase, you authorise the applicable wallet provider and Adyen to process the tokenised wallet payment and related transaction authentication data for that purchase.

If Ombient offers a free trial, the trial duration, included features, renewal price and conversion terms will be disclosed before you start the trial. Unless stated otherwise, a free trial converts into a paid Subscription at the end of the trial period if you do not cancel before the trial ends.

Where required by applicable law, app-store rules or ASCETIX policy, we or the applicable billing provider may send renewal notices, including an email reminder 3 days before a free trial ends and an email reminder 7 days before an annual plan renews. These notice periods should be confirmed before publication for each Territory and purchase channel.

For Direct Web Purchases, you may cancel through [Ombient cancellation portal URL]. The web cancellation process is intended to be reasonably accessible and not materially more burdensome than subscribing, subject to reasonable account verification, security and fraud-prevention requirements.

For App Store Purchases, you must manage and cancel your Subscription through your Apple account settings.

For Google Play Purchases, you must manage and cancel your Subscription through your Google Play account settings.

Unless otherwise stated at the time of cancellation or required by law, cancellation takes effect at the end of the current billing period. You will usually retain access to paid features until the end of that period. After that, your account may revert to a free tier, if available, or lose access to paid features.

We may change Subscription prices and plan features from time to time. We will provide advance notice of material changes to your existing plan where required by law or app-store rules. If you do not agree to a change, you may cancel before the change takes effect.

8. Apple App Store and Google Play Purchases

If you download Ombient from the Apple App Store or Google Play, the applicable app-store terms also apply to your download, purchase and use of Ombient.

For App Store Purchases, Apple bills your purchase and manages payment, renewal, cancellation and refund processes through your Apple account. ASCETIX does not control Apple’s billing, cancellation or refund decisions.

For Google Play Purchases, Google bills your purchase and manages payment, renewal, cancellation and refund processes through your Google Play account. ASCETIX does not control Google’s billing, cancellation or refund decisions.

Apple Pay and Google Pay may also be offered as payment methods for Direct Web Purchases. These wallet payment methods are distinct from App Store Purchases and Google Play Purchases. Selecting Apple Pay or Google Pay at a Direct Web Purchase checkout does not mean that your Subscription is managed through Apple App Store or Google Play unless the checkout flow expressly states that the purchase is an App Store Purchase or Google Play Purchase.

If there is a conflict between these Terms and mandatory app-store rules applicable to your purchase or download, the mandatory app-store rules will apply to the extent of the conflict.

For Ombient downloaded from the App Store, these Terms are between you and ASCETIX, not Apple. Apple is not responsible for Ombient or its content and has no obligation to provide maintenance or support for Ombient. Apple and its subsidiaries may enforce the Apple-related provisions of these Terms as third-party beneficiaries.

For Ombient downloaded from Google Play, these Terms are between you and ASCETIX, not Google. Google is not responsible for Ombient or its content, and Google Play billing, cancellation and refund rules apply to Google Play purchases.

9. Direct Web Purchases, Payment Processing, Billing Providers and Merchant-of-Record Arrangements

ASCETIX owns, operates and administers Ombient. Payment processing and billing may be supported by third-party providers. Adyen is the payment provider / Payment Processor for Ombient Direct Web Purchases, unless another provider is expressly disclosed at checkout.

If ASCETIX sells a Direct Web Purchase to you directly, ASCETIX is the seller for that purchase, unless a third-party Merchant of Record is expressly identified at checkout or on your invoice or receipt.

If a third-party Merchant of Record is used, that provider may sell the relevant digital product to you in its own name, issue invoices or receipts, collect and remit applicable taxes, and handle certain payment-related compliance obligations. ASCETIX remains responsible for operating and administering Ombient, providing access to Ombient features and supporting the App in accordance with these Terms.

Adyen may securely process card payments and supported wallet or alternative payment methods, including Apple Pay and Google Pay where available and configured for the relevant Territory, device, browser and checkout flow. Billing Platforms may manage recurring billing, renewals, proration, dunning, subscription status and cancellation events.

Current provider details for Direct Web Purchases are listed in Schedule 1. Adyen is included as the confirmed payment provider for Direct Web Purchases. Availability of Apple Pay and Google Pay remains subject to Adyen configuration, device/browser support, wallet-provider rules and Territory-specific availability. Unless expressly disclosed otherwise, ASCETIX does not store full card numbers or CVV codes.

Prices may be inclusive or exclusive of taxes depending on the purchase channel and Territory. Applicable taxes, if any, will be disclosed at checkout or on the invoice/receipt where required.

No limited payment collection agent model is used for ASCETIX in these Terms. Payment made through Adyen, Apple Pay, Google Pay, a disclosed Merchant of Record or another disclosed Payment Processor is a payment for Ombient access under the checkout terms, but ASCETIX remains the owner, operator, administrator and contracting entity for Ombient.

10. Refunds, Withdrawal Rights and Goodwill Policies

ASCETIX does not provide a blanket guarantee that all purchases are refundable. Refund eligibility depends on purchase channel, app-store rules, Ombient refund rules, mandatory consumer law and any goodwill policy expressly offered by ASCETIX.

For Direct Web Purchases, refund requests should be submitted through [Ombient refund portal URL]. You may also contact support@ombient.app, but the refund portal should be treated as the primary channel if implemented. We may ask for the minimum information reasonably necessary to process the request, such as account email, country, purchase date, plan type, transaction ID and reason for refund.

For App Store Purchases, refunds are handled by Apple under Apple’s own refund rules and processes. You must request refunds through your Apple account or Apple support tools. ASCETIX does not control whether Apple approves or denies a refund.

For Google Play Purchases, refunds are handled by Google under Google’s own refund rules and processes. You must request refunds through your Google Play account or Google support tools, unless Google directs you to contact ASCETIX. ASCETIX does not control whether Google approves or denies a refund.

Where a Merchant of Record is used for Direct Web Purchases, the Merchant of Record may process refunds in accordance with the Ombient Refund & Cancellation Policy, checkout disclosures, its own legally required procedures and applicable law.

If you are a consumer resident in the EU or EEA, you generally have a legal right to withdraw from a distance contract within 14 days from the day of conclusion, subject to the specific rules for digital content and digital services. By starting to use a Subscription during the withdrawal period, for example by accessing paid content, you expressly request that we begin providing the digital service before the end of the withdrawal period and acknowledge that you may lose your right of withdrawal once the digital service has been fully performed or, where permitted by law, may be required to pay a proportionate amount for the service already provided.

For consumers resident in Switzerland, ASCETIX provides a contractual 14-day goodwill withdrawal right for Direct Web Purchases, subject to the scope, conditions and exclusions described in the Ombient Refund & Cancellation Policy. This goodwill right is contractual and does not replace any mandatory rights that may apply.

Where stated in the Ombient Refund & Cancellation Policy, ASCETIX may offer a time-limited money-back guarantee as a goodwill gesture, subject to conditions such as time limits, usage thresholds, purchase channel, one-time applicability and fraud-prevention checks. Such guarantees are in addition to statutory rights and do not affect them.

We collect only the minimum information reasonably necessary to process refunds and cancellations. The purposes, legal bases and retention rules for refund and cancellation data are described in the Privacy Policy and the Ombient Refund & Cancellation Policy.

Nothing in these Terms limits any non-waivable consumer, refund, withdrawal, cancellation, statutory warranty or other mandatory rights that apply to you.

11. License and Acceptable Use

Subject to your compliance with these Terms, ASCETIX grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to download, install, access and use Ombient for your own personal, non-commercial wellness purposes.

You must not copy, modify, translate, adapt, distribute, sell, lease, sublicense or create derivative works from Ombient or its content except as expressly permitted by law.

You must not reverse engineer, decompile, disassemble or attempt to extract source code except to the extent this restriction is prohibited by law.

You must not bypass, disable or interfere with security, access-control, payment, subscription or entitlement features.

You must not use automated tools, bots, scrapers or data-mining methods to access Ombient without permission.

You must not upload or transmit viruses, malware, harmful code or content that is unlawful, infringing, deceptive, harassing, defamatory, obscene or otherwise objectionable.

You must not use Ombient to provide medical, mental-health, counselling, psychotherapy, crisis-support or emergency services.

You must not upload personal data about another person unless you have a lawful basis and appropriate authority to do so.

We may suspend or terminate access for material or repeated violations of this Section.

12. User Content and Feedback

Ombient may allow you to enter, upload, store or generate content such as journal entries, reflections, preferences, goals, notes, check-ins or similar information (“User Content”).

You retain any rights you have in User Content. You grant ASCETIX a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display and use User Content only as reasonably necessary to operate, maintain, secure, support and improve Ombient and as otherwise described in the Privacy Policy.

You are responsible for ensuring that User Content is lawful and does not infringe the rights of others. You should not enter medical records, clinical information, emergency information or information about other people unless Ombient expressly supports that use and applicable law permits it.

If you send us suggestions, ideas, bug reports or other feedback, you grant ASCETIX a worldwide, royalty-free, irrevocable and transferable right to use that feedback without restriction or compensation to you, to the extent permitted by law.

13. Intellectual Property and Takedown Notices (DMCA)

ASCETIX and its licensors retain all rights, title and interest in and to Ombient, including software, code, designs, interfaces, text, audio, music, images, trademarks, service marks, logos, content and other materials, excluding your User Content.

You may not use the Ombient name, logos, trademarks or brand assets without ASCETIX’s prior written permission.

If you believe that material available through Ombient infringes your copyright, you may send a notice to our designated copyright agent at: [copyright / DMCA agent name or department], ASCETIX INC., 8 The Green, Suite R, Dover, DE 19901, USA; Email: [copyright / DMCA support@ombient.app]; Phone: [copyright / DMCA phone, if any].

Your notice should include: your physical or electronic signature; identification of the copyrighted work claimed to be infringed; identification of the allegedly infringing material and information reasonably sufficient for us to locate it; your contact details; a statement that you have a good-faith belief that the disputed use is not authorised by the copyright owner, its agent or law; and a statement that the information in the notice is accurate and that you are authorised to act on behalf of the copyright owner.

If your content was removed or disabled following a copyright notice and you believe this was a mistake or that you have the right to use the material, you may submit a counter-notice where permitted by applicable law. We may restore the material if appropriate under the DMCA or other applicable copyright rules.

14. Privacy and Service Providers

Your use of Ombient is governed by the Ombient Privacy Policy, available at ombient.app/engPolicy.

We use third-party service providers for app distribution, hosting, analytics, attribution, communications, experimentation, error tracking, payment processing, billing, subscription management, fraud prevention, tax, accounting, support and other operational purposes, as described in the Privacy Policy and Schedule 1.

Provider names and roles must be confirmed against the final SDK inventory, data map, app-store disclosures, payment stack and vendor contracts before publication.

15. Translations and Language

ASCETIX may provide translations of these Terms and related policies for convenience. Unless mandatory law requires otherwise, if there is any discrepancy or conflict between the English version and a translated version, the English version will prevail.

16. Service Availability, Service Changes, Interruptions and Credits

We aim to maintain reliable access to Ombient, but we do not guarantee that Ombient will be uninterrupted, timely, secure or error-free.

ASCETIX may modify, suspend, discontinue, replace or update Ombient or any part of it from time to time. We will provide notice where required by law.

Definitions such as “Service Interruption” and “Service Credit”, and the criteria and process for receiving a service credit or pro-rata refund in certain service issues, are set out in [Ombient Refund & Cancellation Policy URL] or [Ombient Service Credit Policy URL].

Where the criteria in that policy are met, you may be entitled to a service credit of up to 30 days of access or a pro-rata refund where applicable, subject to the conditions, exclusions and request process specified there. Temporary interruptions, maintenance, third-party outages, app-store outages, payment-provider outages or feature changes do not automatically entitle you to a refund or credit unless the policy or applicable law provides otherwise.

17. Disclaimers

To the maximum extent permitted by applicable law, Ombient is provided on an “as is” and “as available” basis.

ASCETIX disclaims all warranties not expressly stated in these Terms, whether express, implied, statutory or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability and uninterrupted operation.

Nothing in these Terms excludes, restricts or modifies any warranty, guarantee or remedy that cannot be excluded, restricted or modified under applicable law.

18. Limitation of Liability

To the maximum extent permitted by applicable law, ASCETIX and its officers, directors, employees, contractors, licensors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages; loss of profits, revenue, business, goodwill or anticipated savings; loss, corruption or unauthorised access to data except where liability cannot lawfully be limited; or damages arising from reliance on Ombient as medical, mental-health, emergency or crisis-support advice.

To the maximum extent permitted by applicable law, ASCETIX’s total liability for claims arising out of or relating to Ombient or these Terms will not exceed the amount you paid to ASCETIX for Ombient during the 12 months before the event giving rise to the claim.

The limitations above do not apply to liability that cannot be limited by law, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, intentional misconduct or any mandatory consumer-law liability.

19. Suspension and Termination

You may stop using Ombient at any time. If you have a Subscription, you must cancel it through the applicable cancellation method to avoid future charges.

ASCETIX may suspend or terminate your access to Ombient if you materially or repeatedly breach these Terms; your use creates legal, security, operational or fraud risk; we are required to do so by law, court order, regulator, app-store requirement or payment provider requirement; your account is used in an unlawful or harmful way; or Ombient or a material part of it is discontinued.

Where required by law, we will provide notice and an opportunity to remedy before suspension or termination.

Termination does not affect accrued rights, payment obligations, disclaimers, limitations of liability, intellectual property rights, privacy provisions or provisions that by their nature should survive termination.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes in Ombient, our business, applicable law, app-store rules, payment flows or operational requirements.

If we make material changes that affect your rights or obligations, we will notify you by email, in-product notice or another appropriate method at least 7 days before the changes take effect, unless applicable law requires a different notice period or immediate changes are required for security, legal or operational reasons.

If you do not agree to updated Terms, you should stop using Ombient and cancel any Subscription before the updated Terms apply to you. Continued use of Ombient after the effective date constitutes acceptance of the updated Terms to the extent permitted by law.

21. Governing Law and Jurisdiction; Consumer Rights

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, except where mandatory consumer law requires otherwise.

Subject to any mandatory right you have to bring claims in your country or region of residence, the state and federal courts located in Delaware will have jurisdiction over disputes arising from these Terms or Ombient.

If you are a consumer resident in the EU/EEA, the UK, Switzerland or another jurisdiction with mandatory consumer protection laws, you may also have the right to bring claims in the courts of your place of domicile where such rights are mandatory. Nothing in these Terms deprives consumers of protections afforded by mandatory law in their country or region of residence.

This clause should be reviewed by local counsel before publication in each launch market.
